1. Acceptance of Terms

By accessing, using, or subscribing to Signalwraith (the "Service"), you agree to be bound by these Terms of Service ("Terms"). If you do not agree to these Terms, do not use the Service.

Signalwraith is operated by Signalwraith LLC ("Company," "we," "us," or "our"), a limited liability company organized under the laws of Georgia and registered in Columbia County, Georgia.

2. Description of Service

2.1 Algorithmic Market Analysis Platform

Signalwraith provides a Software as a Service (SaaS) platform that delivers:

• Algorithmic sentiment analysis using proprietary naïve Bayes statistical models applied to online forum discussions
• Historical probability databases tracking word correlation patterns with stock price movements
• Proprietary predictive heuristics generating market sentiment signals and deviation alerts
• Interactive visualizations comparing sentiment metrics to historical price performance
• Educational trading plan templates based on statistical pattern recognition across multiple timeframes

2.2 Data Sources and Methodology

Our analysis is derived from:

• Publicly available online forum content processed through proprietary algorithms
• Historical market data integrated with sentiment correlation models
• Statistical pattern recognition across multiple trained timeframes
• Real-time processing to identify significant deviations from baseline averages

THE SERVICE PROVIDES ALGORITHMIC MARKET ANALYSIS AND EDUCATIONAL CONTENT ONLY. SIGNALWRAITH IS NOT A FINANCIAL ADVISOR, BROKER-DEALER, OR INVESTMENT ADVISOR. WE DO NOT PROVIDE FINANCIAL, INVESTMENT, TRADING, OR TAX ADVICE.

3.2 Educational and Informational Purpose

• All content, data, signals, and analysis are for educational and informational purposes only
• Our algorithmic outputs constitute general market commentary, not personalized investment recommendations
• Historical correlation patterns do not guarantee future performance or accuracy
• Market conditions change rapidly and may render algorithmic predictions inaccurate or obsolete

Our algorithmic methods constitute valuable trade secrets under the Defend Trade Secrets Act and Georgia Uniform Trade Secrets Act, deriving economic value from their secrecy.

You shall not reverse engineer, decompile, extract, or attempt to discover our proprietary algorithms, statistical models, or methodologies. All technical information is Confidential Information that you must keep strictly confidential and use solely for personal evaluation of our Service.

4.4 Enforcement Rights

Violation of these provisions constitutes irreparable harm entitling us to immediate injunctive relief without posting bond, plus monetary damages including actual damages, unjust enrichment, reasonable royalties, and attorneys' fees.

5. User Accounts and Eligibility

5.1 Account Requirements

• You must be at least 18 years old and legally capable of entering binding contracts
• You must provide accurate, current, and complete account information
• You are responsible for maintaining account security and all activities under your account
• You must immediately notify us of any unauthorized access or security breaches

5.2 Geographic and Legal Restrictions

• You represent that your use complies with all applicable laws and regulations in your jurisdiction
• International users are responsible for compliance with local securities and financial regulations
• We may restrict access from jurisdictions where our Service violates local laws

6. Subscription Terms and Payment

6.1 Service Plans and Billing

• Service is provided on a subscription basis with various plan options and credit packages
• Subscription fees are charged in advance on a recurring basis as specified in your plan
• All fees are non-refundable except as required by applicable law or our explicit refund policy
• We may change subscription prices with 30 days' advance notice

• Failed payments may result in service suspension or account termination

• Subscription holders receive unlimited access subject to fair use policies

7. Acceptable Use Policy

You may use the Service only for personal financial education, individual investment research, academic purposes with appropriate attribution, and compliance with all applicable laws and regulations.

7.2 Prohibited Activities

You may not violate any laws; redistribute, resell, or sublicense access to the Service; use automated systems without permission; attempt unauthorized access to our systems; share account credentials; use the Service to provide competing services; extract bulk data; or engage in market manipulation or illegal trading activities.

7.3 Securities Law Compliance

You acknowledge that securities laws may apply to your use of market information and are solely responsible for compliance with all applicable securities regulations.

8. Service Availability and Performance

8.1 Service Level Expectations

• We strive for high availability but do not guarantee uninterrupted service
• Scheduled maintenance may temporarily affect service availability with advance notice when possible
• Data processing delays may occur due to source availability or technical limitations
• Algorithm updates may temporarily affect signal generation or analytical outputs

8.2 Data Accuracy and Reliability

• We make reasonable efforts to ensure data accuracy but cannot guarantee completeness or reliability
• Market data may be delayed, inaccurate, or incomplete due to source limitations
• Algorithmic predictions are statistical estimates with inherent uncertainty and error margins
• Historical backtesting does not guarantee future performance or analytical accuracy

9. Limitation of Liability and Disclaimers

9.1 Service Disclaimers

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED. TO THE MAXIMUM EXTENT PERMITTED BY GEORGIA LAW, WE DISCLAIM ALL WARRANTIES INCLUDING MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, NON-INFRINGEMENT, AND ACCURACY OF DATA OR PREDICTIONS.

9.2 Investment Loss Limitation

WE ARE NOT LIABLE FOR ANY TRADING LOSSES, INVESTMENT LOSSES, OR FINANCIAL DECISIONS BASED ON OUR ALGORITHMIC ANALYSIS. YOUR USE OF OUR SERVICE FOR INVESTMENT DECISIONS IS ENTIRELY AT YOUR OWN RISK.

9.3 Comprehensive Liability Limitation

TO THE MAXIMUM EXTENT PERMITTED BY GEORGIA LAW:

• Our total liability is limited to the amount you paid for the Service in the 12 months preceding any claim
• We are not liable for indirect, consequential, incidental, special, or punitive damages
• We are not liable for business interruption, lost profits, data loss, or system failures
• We are not liable for third-party actions, payment processor issues, or external data source problems
• We are not liable for algorithmic errors, prediction inaccuracies, or missed trading opportunities

9.4 Exceptions to Limitations

Liability limitations do not apply to:

• Gross negligence or willful misconduct by Company personnel
• Breaches of confidentiality or trade secret misappropriation by the Company
• Violations of applicable law that cannot be lawfully disclaimed

10. Account Termination and Data Retention

10.1 Termination Rights

You may terminate your subscription at any time through account settings, effective at the end of your current billing period. We may terminate or suspend your account immediately for violation of these Terms, non-payment, illegal activities, reverse engineering attempts, or conduct harmful to our business or other users.

10.2 Effect of Termination

Upon termination, access to the Service terminates immediately, confidentiality obligations survive indefinitely, and intellectual property restrictions remain in full force and effect.

10.3 Automated Inactive Account Cleanup

Accounts with no login activity for 90+ consecutive days without an active subscription will be scheduled for deletion. Email notification with minimum 30-day advance notice will be provided. Logging in during the grace period cancels scheduled deletion. Transaction and billing records are retained separately for legal compliance (7 years).

11. Dispute Resolution and Governing Law

11.1 Governing Law and Jurisdiction

These Terms are governed by Georgia state law without regard to conflict of law principles. Any disputes must be resolved in the state or federal courts located in Columbia County, Georgia, and you consent to the personal jurisdiction of such courts.

11.2 Mandatory Arbitration

Before initiating arbitration, parties must engage in good-faith negotiations for at least 30 days after written notice of the dispute. Disputes that cannot be resolved through negotiation shall be resolved through binding arbitration under the Commercial Arbitration Rules of the American Arbitration Association, conducted in Columbia County, Georgia. You waive the right to participate in class action lawsuits or class-wide arbitration proceedings. Either party may pursue individual claims in small claims court for matters within its jurisdiction.

11.3 Attorney Fees

In any legal proceeding arising from these Terms, the prevailing party is entitled to recover reasonable attorneys' fees and costs.

12. Updates and Communications

12.1 Terms Updates

We may modify these Terms at any time by posting updated Terms on our website with a new effective date. Material changes will be notified via email or platform notification with 30 days' advance notice. Continued use after Terms updates constitutes acceptance of new Terms.

12.2 Required Communications

We may send you transactional emails regarding account status, billing, and service updates; security notifications about account access; legal notices required by law; and marketing communications (with opt-out ability) if you've consented.

13. Miscellaneous Provisions

13.1 Entire Agreement

These Terms, together with our Privacy Policy and any subscription agreements, constitute the complete agreement between you and the Company regarding the Service.

13.2 Severability and Assignment

If any provision is found unenforceable, the remaining provisions remain in full force and effect. We may assign these Terms without notice. You may not assign your rights without our written consent.

13.3 Force Majeure and Waiver

We are not liable for delays due to circumstances beyond our reasonable control. Our failure to enforce any provision does not constitute a waiver of our right to enforce that provision in the future.
