10. Account Termination and Data Retention

10.1 Termination Rights

You may terminate your subscription at any time through account settings, effective at the end of your current billing period.

Our Rights:

We may terminate or suspend your account immediately for:

• Reverse engineering attempts

10.2 Effect of Termination

Upon termination:

• Access to the Service terminates immediately
• Confidentiality obligations survive indefinitely

10.3 Automated Inactive Account Cleanup

Account Identification:

• Accounts with no login activity for 90+ consecutive days without an active subscription will be scheduled for deletion
• Email notification with minimum 30-day advance notice will be provided
• Logging in during the grace period cancels scheduled deletion
• All unused credits are forfeited upon account deletion - credits cannot be recovered after deletion
• Transaction and billing records are retained separately for legal compliance (7 years)

11. Dispute Resolution and Governing Law

11.1 Governing Law and Jurisdiction

These Terms are governed by Georgia state law without regard to conflict of law principles. Any disputes must be resolved in the state or federal courts located in Columbia County, Georgia, and you consent to the personal jurisdiction of such courts.

11.2 Mandatory Arbitration

Pre-Arbitration Negotiations:

Before initiating arbitration, parties must engage in good-faith negotiations for at least 30 days after written notice of the dispute.

Arbitration Process:

Disputes that cannot be resolved through negotiation shall be resolved through binding arbitration under the Commercial Arbitration Rules of the American Arbitration Association, conducted in Columbia County, Georgia.

Class Action Waiver:

You waive the right to participate in class action lawsuits or class-wide arbitration proceedings.

Small Claims Exception:

Either party may pursue individual claims in small claims court for matters within its jurisdiction.

In any legal proceeding arising from these Terms, the prevailing party is entitled to recover reasonable attorneys' fees and costs.
